Adapted from the AMP Payment Systems legacy Terms and Conditions, last edited August 9, 2024. Claims that could not be verified for this platform were removed or qualified.
1. Introduction
These Terms and Conditions apply to this website and website-based interactions concerning our products and services. Additional contracts may govern your relationship with AMP Payment Systems or a product or service you receive. If an additional contract conflicts with these Terms, the additional contract controls for that conflict.
2. Binding
By accessing or using this website, you acknowledge and agree to these Terms. In particular cases, we may also ask you to expressly accept additional disclosures or terms. If you do not agree, do not use the website.
3. Electronic communication
By using this website or communicating with us electronically, you agree that we may communicate through the website, email, or other electronic methods you authorize. To the extent permitted by law, electronic agreements, notices, disclosures, and communications satisfy requirements that they be in writing.
4. Intellectual property
AMP Payment Systems or its licensors own and control the copyrights and other intellectual-property rights in this website and the data, information, branding, and resources made available through it.
4.1 All rights reserved. Unless specific content says otherwise, no license or other right under copyright, trademark, patent, or other intellectual-property law is granted. Without prior written permission, you may not use, copy, reproduce, perform, display, distribute, embed, alter, reverse engineer, decompile, transfer, download, transmit, monetize, sell, market, or commercialize website resources, except where mandatory law permits an activity such as quotation.
6. Third-party property
The website may include links or references to third-party sites and services. We do not necessarily monitor, review, share, or endorse their content. Their products and services are governed by their own terms.
Third parties have separate privacy practices. To the maximum extent permitted by law, you bear the risks of using third-party sites and services, including information you disclose directly to them. Nothing in this section limits liability that cannot lawfully be limited.
7. Responsible use
Use the website only for its intended purposes and as permitted by these Terms, additional contracts, applicable laws, regulations, and generally accepted online practices.
- Do not use, publish, distribute, or link to malicious software.
- Do not use data collected from the website for unsolicited direct marketing.
- Do not conduct unauthorized systematic or automated collection.
- Do not damage the website or interfere with its performance, availability, accessibility, or security.
- Do not submit cardholder data, passwords, Social Security numbers, full tax IDs, bank account or routing numbers, or other prohibited sensitive data through fields that tell you not to provide it.
8. Idea submission
Do not submit ideas, inventions, works of authorship, or other intellectual property you want treated as confidential unless we first sign an applicable intellectual-property or nondisclosure agreement. If you disclose such material without one, you grant AMP a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, store, adapt, publish, translate, and distribute it in existing or future media.
9. Termination of use
We may modify, suspend, or discontinue access to the website or a website feature, temporarily or permanently, subject to applicable law and any controlling contract. To the maximum extent permitted by law, we are not liable for that change or for loss of website settings or user-contributed content. You must not circumvent or attempt to bypass website access restrictions.
10. Warranties and liability
Nothing in this section limits a warranty or liability that applicable law does not allow us to limit. The website and its content are provided “as is” and “as available” and may contain inaccuracies or typographical errors. To the maximum extent permitted by law, we disclaim express and implied warranties concerning availability, accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, and that the website will be uninterrupted, timely, secure, or error-free.
To the maximum extent permitted by law, AMP is not liable for direct or indirect damages, lost profits or revenue, loss or corruption of data, software or databases, or harm to property or data arising from access to or use of the website.
Except where an additional contract expressly states otherwise and to the maximum extent permitted by law, aggregate liability for claims arising from the website or products or services marketed through it will not exceed the total price you paid AMP for the product, service, or website use giving rise to the claim. This limitation applies in the aggregate across claims and legal theories.
11. Privacy
You may need to provide information to use certain website features. You agree that information you provide will be accurate, correct, and current. Our collection and handling of personal information is described in the Privacy Policy linked on this page.
12. Accessibility
We seek to make website content accessible to individuals with disabilities. If a disability prevents you from accessing part of the website, contact us with a detailed description of the issue. We will review readily identifiable issues and seek a reasonable resolution using appropriate tools and techniques.
13. Export restrictions and legal compliance
You may not access or use the website where doing so, or obtaining a product or service offered through it, is illegal. You may not use the website in violation of United States export laws or other applicable trade restrictions.
14. Affiliate marketing
The website may use affiliate marketing, sponsorships, referrals, or other advertising relationships under which AMP may receive compensation in connection with a product or service. Where used, relevant disclosures are intended to comply with applicable advertising requirements, including Federal Trade Commission guidance.
15. Assignment
You may not assign, transfer, or subcontract your rights or obligations under these Terms, in whole or part, without our prior written consent. A purported assignment violating this section is void to the extent permitted by law.
16. Breaches of these Terms
If you breach these Terms, we may take appropriate action without limiting other rights or remedies. Action may include temporarily or permanently suspending access, asking an internet service provider to block access, or beginning legal proceedings, in each case subject to applicable law.
17. Force majeure
Except for payment obligations, a delay, failure, or omission is not a breach for as long as it results from a cause beyond the affected party’s reasonable control.
18. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold AMP harmless from claims, liabilities, damages, losses, and expenses arising from your violation of these Terms, applicable law, intellectual-property rights, or privacy rights. You will promptly reimburse covered damages, losses, costs, and expenses.
19. Waiver
A failure to enforce a provision, agreement, or termination option is not a waiver and does not affect its validity or the later right to enforce it.
20. Language
These Terms are interpreted and construed in English. Notices and correspondence concerning them will be in English.
21. Entire agreement
These Terms and the Privacy Policy constitute the entire agreement concerning use of this website, except for additional contracts or disclosures that expressly apply to a particular product, service, application, or communication.
22. Updates to these Terms
We may update these Terms. Check this page periodically; the Last updated date identifies the current posted revision. Changes take effect when posted unless stated otherwise. Continued website use after posting constitutes acceptance to the extent permitted by law.
23. Choice of law and jurisdiction
The legacy source states that United States law governs and United States courts have jurisdiction. Because that formulation does not identify a state or specific forum, this adapted provision requires legal review before launch. To the extent enforceable, these Terms are governed by applicable United States law, subject to any controlling contract and mandatory law.
If a court or other authority finds a provision invalid or unenforceable, it will be modified, severed, or enforced to the maximum permissible extent to give effect to its intent, and the remaining provisions will continue.
